TERMS OF SERVICE
Verify It Then Buy It
Effective Date: October 17, 2026
1. Overview
Welcome to Verify It Then Buy It ("VITBI," "we," "us," or "our"), accessible at https://verifyitthenbuyit.com.
We provide independent preliminary business-acquisition review services designed to help prospective buyers better understand the financial condition, available evidence, potential risks, and considerations associated with a business opportunity.
By accessing our website, submitting an inquiry, or purchasing our services, you agree to these Terms of Service and our applicable Privacy Policy and Refund Policy.
2. Our Services
VITBI offers two primary services:
Deal Decision Review — USD $399
A focused preliminary assessment of one business opportunity, including a Deal Score, GO / CAUTION / NO-GO assessment, key findings, evidence confidence, financial observations, and recommended next steps, subject to the available information.
Detailed Deal Review — USD $999
A more comprehensive preliminary assessment of one business opportunity, including additional financial analysis, significant risks, valuation and price considerations, supporting explanations, and recommendations, subject to the available information.
The specific features of each service are described on its product page. Any changes in scope must be agreed upon before additional work is undertaken.
Our services provide preliminary decision-support analysis. They are not a substitute for comprehensive due diligence, a professional business valuation, an audit, or legal, tax, investment, or other regulated professional advice.
3. Submission and Acceptance Process
Customers submit their business opportunity information through our online intake form before making payment.
Submitting an intake form does not create a paid service agreement, guarantee acceptance, or require payment.
We may review the submission for completeness, suitability, and availability of information. We may request additional documentation or clarification.
If we determine that we can undertake the requested review, we will provide payment instructions or an invoice identifying the selected service and applicable charges.
The service agreement is formed when we confirm acceptance of the engagement and the customer accepts the applicable terms and payment requirements.
We reserve the right to decline a submission before accepting an engagement, including where sufficient evidence is unavailable, the requested work is outside our service scope, or there is another reasonable business or compliance concern.
If we decline a submission before payment, no service fee will be charged.
4. Customer Responsibilities
Customers are responsible for providing information that is accurate, complete to the best of their knowledge, and lawfully obtained.
Customers must have the necessary authority to share any business documents, financial records, or third-party information submitted to VITBI.
Customers should identify any known inaccuracies, missing records, unusual transactions, or relevant circumstances that could affect the review.
We may request further information where necessary. Incomplete, inaccurate, outdated, or misleading submissions may limit the reliability of the report.
The customer remains responsible for independently verifying relevant facts, consulting appropriate professionals, and making all decisions concerning an acquisition.
5. Prices, Invoicing and Payment
Our standard advertised prices are:
-
Deal Decision Review: USD $399.
-
Detailed Deal Review: USD $999.
Applicable taxes or other charges, if any, will be disclosed before payment.
Submitting an intake form does not require immediate payment.
Following preliminary screening and acceptance, the customer will receive instructions to pay for the selected service.
Unless otherwise agreed in writing, work on the paid review will not begin until the required payment has been received.
Prices may change prospectively, but an accepted engagement will be governed by the agreed price unless the customer approves a change in scope or charges.
6. Analysis and Deliverables
VITBI prepares its reports using the documents, data, explanations, and other evidence made available for the engagement.
Depending on the selected service and available evidence, the report may contain:
-
A Deal Score.
-
A GO / CAUTION / NO-GO assessment.
-
Financial performance observations.
-
Key risks, concerns, and warning signs.
-
An assessment of the reliability and completeness of available evidence.
-
Preliminary asking-price and negotiation considerations.
-
Recommended next steps or questions for the seller.
The extent and reliability of each finding depend on the information supplied.
A Deal Score or GO / CAUTION / NO-GO assessment is an analytical opinion based on available evidence, not a guarantee of business performance or a definitive instruction to complete or reject a transaction.
We may identify areas that cannot be assessed reliably because of missing, contradictory, or insufficient evidence.
7. Delivery and Communication
Reports are delivered electronically to the customer's designated email address unless another method is agreed upon.
VITBI communicates with customers primarily through email to maintain clear written records.
Any delivery timeline communicated for an engagement is based on the agreed scope, document availability, and timely customer responses.
If additional information is needed or an unexpected delay occurs, we will inform the customer within a reasonable time.
No physical goods are shipped as part of our review services.
8. Cancellations and Refunds
Cancellation and refund requests are handled according to our published Refund Policy and applicable consumer protection laws.
Customers may request cancellation by emailing support@verifyitthenbuyit.com.
Where a cancellation request is received before substantive paid analysis begins, we will assess any refund due under the agreed service terms and applicable law.
Once substantive analysis has started, any refund will depend on the work performed, the circumstances of the cancellation, the published Refund Policy, and the customer's applicable legal rights.
If VITBI cannot provide an accepted service, we will arrange an appropriate refund for the unprovided service.
Nothing in these Terms limits cancellation, refund, or other rights that cannot lawfully be excluded.
9. Confidentiality and Privacy
We recognize that documents concerning a potential business acquisition may contain commercially sensitive and personal information.
Information supplied for an engagement will be used for purposes connected with evaluating the submission, administering the engagement, preparing and delivering the report, maintaining necessary records, and meeting legal obligations, as further described in our Privacy Policy.
We will not intentionally disclose confidential submission materials to unrelated third parties except as necessary to provide or administer the service, with appropriate authorization, or where required by law.
We may use third-party service providers to support secure document handling, communications, website operation, payment processing, and service delivery, subject to applicable privacy obligations.
Customers must not provide confidential third-party records unless they are authorized to do so.
For more information, please review our Privacy Policy on our website.
10. Important Limitations of Our Reviews
Our assessments are preliminary, evidence-based analytical services.
Unless expressly agreed otherwise, VITBI does not independently audit financial statements, authenticate every source document, physically inspect business premises, confirm ownership of assets, perform forensic accounting, or provide legal or regulatory clearance.
We do not guarantee the accuracy of third-party information or predict future business results with certainty.
Any price observations, negotiation considerations, or financial projections are subject to assumptions and limitations that should be considered before reliance.
A favourable assessment does not guarantee that a business acquisition will be successful, profitable, legally compliant, or free from undisclosed liabilities.
Customers should engage appropriately qualified legal, accounting, valuation, tax, and other advisers for full due diligence and professional advice where required.
11. Customer Decisions and Responsibility
Customers retain full responsibility for their decisions, including whether to proceed with negotiations, make an offer, sign an agreement, invest funds, or acquire a business.
A VITBI report is intended as one input into the customer's decision-making process.
Customers should not treat our analysis as the sole basis for a purchase or investment decision.
12. Intellectual Property and Permitted Use
The VITBI website, branding, proprietary assessment methodology, report structure, and original website content belong to VITBI or their respective rights holders.
Upon full payment, customers may use and share their purchased reports with their professional advisers and other persons directly involved in evaluating the relevant business opportunity, subject to any confidentiality or third-party restrictions.
The purchase of a report does not transfer ownership of VITBI's underlying proprietary methods, templates, or branding.
Reports must not be materially altered and presented as original VITBI findings or redistributed commercially without written permission.
13. Website Use
Users must not misuse our website, attempt unauthorized access, interfere with its operation, submit malicious content, or use the services for unlawful purposes.
We may restrict access or refuse service where reasonably necessary to protect users, confidential information, or the integrity of our operations, subject to applicable law and existing contractual obligations.
14. Disclaimers and Liability
We aim to perform our services with reasonable care and diligence, based on the agreed scope and information available.
However, financial analysis and business-acquisition decisions involve uncertainty.
To the extent permitted by applicable law, VITBI does not warrant that its reports will identify every risk, error, omission, or liability associated with a business opportunity.
To the extent permitted by applicable law, VITBI is not responsible for losses caused by inaccurate or incomplete information supplied by customers or third parties, or by decisions made independently of the agreed report scope.
Nothing in these Terms excludes or restricts liability or legal remedies that cannot lawfully be excluded or restricted.
15. Changes to Services and Terms
We may update our website, service descriptions, and these Terms of Service as our operations evolve.
Updated Terms will be posted on our website with a revised effective date.
Changes will not retroactively reduce a customer's rights under an existing engagement unless the change is lawfully agreed upon or required by law.
16. Governing Law
These Terms are governed by the applicable laws of Alberta and the federal laws of Canada, subject to any mandatory consumer protection or other laws that apply to a particular customer.
Any dispute will be addressed in accordance with applicable law and any mandatory jurisdictional requirements.
